Major restaurant company selects Certus to enable sustainable compliance

Purchase, NY — August 31, 2004 — Carrols Corp., one of the largest restaurant companies in the United States, said today it has chosen software from Certus (formerly Nth Orbit), to manage its Sarbanes-Oxley initiative.

Carrols said it will use Certus to accelerate the documentation phase of its 404 initiative in order to leverage all of its current documentation, processes and controls.

Carrols, which owns and operates more than 530 restaurants in 16 states under the Burger King, Pollo Tropical and Taco Cabana brands, employs over 16,000 people and has sales of approximately $640 million.

Certus said it is a compliance platform designed to help organizations achieve Sarbanes-Oxley 404 sign-off in a sustainable manner. Aligned with the Committee of Sponsoring Organizations (COSO) framework, Certus supports the major solution components required by compliance, such as content management, process management, project management and communication management.

Certus said it also supports complex business topographies, including multi-national and multi-divisional organizations, and provides visibility at every organizational level so management can certify with confidence.

"Carrols is committed to creating a sustainable Sarbanes-Oxley initiative that supports our ongoing best practices, and to achieving standardization across our three operating companies," said Mark Brewer, Internal Audit Manager, Carrols Corp. "We chose Certus based on the merits of the software compared to five other competitive systems we evaluated, as well as the responsiveness and knowledge of the Certus team. We are very pleased with how the implementation has gone so far."

Vani Kola, founder and CEO, Certus Software, added, "Best practices companies like Carrols Corp. realize that their Sarbanes-Oxley initiative can be leveraged to achieve broader business value beyond 404 sign-off. We are pleased with their confidence in Certus and that they join other business leaders in making us partners in their organization's compliance initiative."
