Emptoris Draws Significant Investment from Marlin Equity Partners

Infusion targeted at Emptoris' operational, solution expansion; Marlin, with roots in enterprise software, becomes primary shareholder in supply and contract management solution provider

Burlington, MA — January 7, 2009 — Private equity company Marlin Equity Partners has made a significant capital investment in Emptoris, becoming the primary shareholder in the supply management and contract management solution provider, the two companies have announced.

Emptoris said that the investment will provide it with resources to support the company's growth strategies for both its operations and its solution suite.

"As a leading provider of supply and contract management software, we were in the enviable position of selecting among several attractive options to take the company to the next level of growth," said Avner Schneur, CEO of Emptoris. "Marlin Equity Partners provides Emptoris with a strong financial partner and the capital resources needed to fund the company's long-term growth plans. Marlin also has deep experience in enterprise software and brings a successful track record of developing and guiding midsize, high-growth companies."

Marlin has experience and investments in other supply chain, enterprise resource planning and manufacturing software companies, including: Chelford Group, which provides ERP and supply chain software solutions; VantagePoint Systems, provider of ERP software solutions for manufacturers in the packaging industry; and Solarsoft, which offers ERP software for manufacturing, distribution and merchant and wholesale businesses.

Additional Marlin companies include Manufacturing Systems, which provides ERP software and services for discrete manufacturers; Relevant Business Systems, which targets the aerospace and defense, engineer-to-order, contract manufacturing, maintenance repair and overhaul and project-oriented manufacturing markets; and SupplyWorks, which provides supply chain management (SCM) software and services for discrete manufacturers.

Schneur said that the new investment would enable Emptoris to accelerate the innovation and expansion of its solution suite, and allow for continued long-term investment in its global and customer-oriented services, both organically and through strategic acquisitions.

"One of the primary reasons we partnered with Marlin is because the firm's leadership is completely aligned with Emptoris' management on the strategic direction of the company," said Schneur. "Emptoris' leadership decided now was the right time to secure a stable and reliable source of capital."

With the investment, Marlin Equity Partners has acquired a majority equity position in Emptoris and becomes the primary investor in the company, alongside Emptoris' management and employees.

Emptoris' customers include Boeing, ConocoPhillips, GlaxoSmithKline, Kraft and Motorola.
