Consona ERP Acquires Intuitive ERP-related Assets of Automated Design Systems
Creation of Consona Canada enables Consona ERP to provide direct, local customer service

Indianapolis — July 8, 2008 — Consona ERP Inc., a provider of enterprise resource planning (ERP) software and services for small and midsize discrete manufacturers, this week announced that it has acquired substantially all of the Intuitive-related assets of Automated Design Systems (ADS), a Canada-based provider of software tools, implementation services, integration support and education programs for computer-aided design (CAD) and ERP applications.

The acquisition of the Intuitive-related assets of ADS reinforces Consona ERP's acquisition strategy to acquire manufacturing expertise within the ERP industry and extends the company's footprint within the Canadian market. The combined companies said they will look to grow and increase market share as a provider of ERP software and services for Canadian manufacturers.

As part of the acquisition, Consona gains the intellectual property (IP) for, and expertise behind, Intuitive ERP's customer relationship management (CRM) and service functionality, enabling better support, service and maintenance of the module moving forward.

"This acquisition is proof positive that Consona ERP is putting resources behind the international scale and marketability of Intuitive ERP," said Scott Malia, general manager of Consona ERP. "In addition to the IP for the Intuitive ERP CRM module, Consona ERP will gain professionals who are already intimately familiar with the Intuitive ERP product and the Canadian customer base, and who will supplement the current consulting and customizations teams from day one."

According to Malia, the ADS brand and trademark will not become a part of Consona ERP, and ADS's CAD business will continue to operate under the ADS name, remaining unaffected by the acquisition. Consona will use the acquired ADS expertise to create a distribution channel for its family of ERP solutions, thereby creating Consona Canada.

Consona Canada will operate from the former ADS Winnipeg location and will be managed by Dmitry Kirshner, former vice president of client services for ADS. All Intuitive ERP sales, service and support personnel will continue in their existing roles, and Consona's model will continue integration for the companies' 75 shared customers.

"This acquisition made a great deal of sense for both companies," said Malia. "Consona Canada now has a large pool of resources to apply to growing our presence in the region, including by expanding the operation to support other Consona ERP software solutions."
