Markham, Ontario, CANADA — January 11, 2005 — In a bid to extend its reach into the North American and international enterprise business solutions market, professional services firm Headwater Technology Solutions Inc. has acquired the assets of Delfour, a developer and marketer of third party logistics solutions for ambient and temperature controlled warehousing facilities, according Markus Luft and Joe Couto, presidents/CEOs of Headwater Technology Solutions Inc. and Delfour, respectively.

Headwater's expertise in the professional services industry coupled with Delfour's knowledge of the logistics and distribution industries represents a new strategic opportunity, Luft said.

Luft added that Delfour's SmartEnterprise 2 supply chain execution software suite brings additional capability and performance to the range of products and services that Headwater currently offers. The integrated company will be able to apply a stronger resource pool and broader range of expertise as Headwater becomes a more recognizable force within the North American software and overall business community.

The companies are based in Markham, enabling continued development programs and client support without interruption as the Headwater Technology Solutions Supply Chain Business division. Former Delfour president Couto will head up the new division as a Headwater senior vice president.

Historically, Headwater Technology Solutions has focused on the SAP and Microsoft environments, while SmartEnterprise 2 solutions run in Oracle environments under both the Unix and the Linux operating systems.

The combination of companies is expected to offer opportunities for cross marketing into the respective environments, the executives said. Headwater Technology Solutions has a North American presence. Delfour is heavily invested in the Canadian and U.S. temperature-controlled warehouse field, with solutions in place at eight of the International Association of Refrigerated Warehouses (IARW) Top-20, numerous smaller refrigerated facilities and both single and multi-facility ambient temperature warehouse installations.

The Delfour purchase is part of a strategy to provide enterprise solutions to the distribution and supply chain marketplace, Luft said. The company's goal is to achieve critical mass in the markets it addresses by growing profitably through acquisitions and organic opportunities.
